Terms of Service

These Terms of Service (“Terms”) cover your use of manalabs.academy and our sessions, workshops, courses, events, community spaces, recordings, software, and related services (together, the “Services”).

The Services are operated by Dylan Moore, doing business as MANA Labs (“MANA Labs,” “we,” “us,” or “our”).

By creating an account, enrolling in a program, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

MANA Labs provides practical, expert-led AI training through private sessions, workshops, team engagements, recordings, and supporting materials.

Our current program, the Foundation Series, includes two private three-hour sessions with an AI strategist, scheduled around your availability, plus community access and access to the MANA Library.

Our offerings may change over time. These Terms apply to all of them unless a program has a separate written agreement. If that agreement conflicts with these Terms, the program agreement takes priority for that program.

2. Eligibility

You must be at least 18 to use the Services or enroll in a program. By using the Services, you confirm that you meet this requirement and that the information you provide is accurate.

Team programs are also subject to any order form or separate agreement we sign with the organization purchasing them.

3. Your account

Some Services require an account. Keep your login details confidential. You are responsible for activity under your account.

Your account and program access are personal to you. Do not share them with anyone else. If you suspect someone has used your account without permission, email hello@manalabs.academy promptly.

4. Enrollment, pricing, and payment

Prices are shown when you purchase. Team and custom engagements are priced separately, as quoted.

Stripe processes our payments. We do not store your full card details. By enrolling, you authorize us, through Stripe, to charge the amount shown at checkout, including any applicable taxes. If a payment fails or is reversed, we may suspend your access until the issue is resolved.

The Foundation Series requires your own paid plan with one of the AI tools we teach — Claude Pro or Max from Anthropic, or ChatGPT Plus or Pro from OpenAI. You choose which, based on the tool you already use or the one you want to learn. That provider bills you separately; the subscription is not included in our price, and we cannot issue refunds for it.

5. Cancellation, refunds, and rescheduling

Cancelling for a full refund. We want you to feel comfortable enrolling. You can cancel for a full refund at any time before your first session, as long as that session is at least seven calendar days away or has not been scheduled yet. Just email hello@manalabs.academy. No explanation or special wording is needed, and your cancellation takes effect when you send it.

Closer to your first session. Once your first session is fewer than seven calendar days away, or has taken place, we do not offer refunds for cancellation or a change of plans. Your sessions remain yours: you can move them or pause until the timing is better, subject to the rescheduling terms below. If something serious comes up, tell us. We will consider your circumstances and may make an exception. None of this affects our commitment to address or refund a session that falls short of what we promised.

What we stand behind. We promise thoughtful preparation, focused time, and work guided by your Build Brief and the scope we agree with you. We cannot promise a particular finished product, business result, or financial outcome. Those depend on your effort, your market, and the capabilities of the tools we use.

If we fall short. Tell us what was missing. If we have not delivered the preparation, time, or agreed scope we promised, we will work with you to put it right. That may mean additional time or a reworked session, at no extra cost. If we cannot resolve the shortfall, we will refund the amount paid for the affected session. This commitment applies even after the cancellation window has closed.

What we ask of you. Send us your Build Brief by the deadline we give you, attend your sessions, and come ready to work on your project. If we are missing information we need to prepare, we will contact you about how to proceed. We cannot guarantee progress that depends on information, access, or participation you have not provided.

Rescheduling and missed sessions. With at least 48 hours’ notice, you can reschedule at no cost, as often as you need. With less than 48 hours’ notice, or if you do not attend, the session counts as used because we have prepared and reserved the time for you. If an emergency or something serious gets in the way, tell us. We will consider the circumstances and work with you where we can.

When to use your sessions. We schedule around your availability, so your first session may take place more than 30 days after you enroll. We recommend completing both sessions within 90 days of purchase so the second can build on the first. If you need longer, we will work with you. Paid sessions do not expire.

How refunds are paid. Email hello@manalabs.academy with your order information to request a refund. We issue approved refunds to your original payment method within 10 calendar days of approval. Your bank may take another 5–10 business days to show the credit. If you have a concern about a charge, please contact us so we have a chance to resolve it directly.

Team and custom engagements. These follow the cancellation, refund, and rescheduling terms in their own agreement.

6. Using our materials

When you enroll, you receive permission to access and use the program materials for your own learning and work. These include sessions, recordings, slides, templates, prompts, and workbooks.

This license is limited, personal, non-exclusive, non-transferable, and non-sublicensable. You cannot transfer it or grant it to someone else.

You may apply what you learn and use our templates and prompts in your own personal and commercial projects. You may not:

• Resell, distribute, publish, or publicly post our materials or recordings.
• Share your access or recordings with anyone outside your enrollment.
• Use our materials to create or run a competing course, training program, or workshop.
• Remove or hide credits or ownership notices.

The license ends when your access ends. You may continue using materials we explicitly say you may keep, such as downloadable templates, under these same restrictions.

7. Content you share

You may contribute work, questions, feedback, and other content through sessions, community spaces, or submissions (“Your Content”).

You keep ownership of Your Content. You give MANA Labs a worldwide, non-exclusive, royalty-free license to use, display, copy, and adapt it to run and improve the Services and support your program.

We will ask for your permission before featuring your work publicly in marketing, testimonials, or case studies.

You are responsible for what you share. Do not contribute content that is unlawful, infringes someone else’s rights, is harassing, hateful, or deceptive, or discloses another person’s private or confidential information.

8. Community conduct

We want people to feel welcome, respected, and able to focus on their work. When using the Services, do not:

• Harass, threaten, demean, or discriminate against anyone.
• Spam, pitch, or recruit members for unrelated products or services.
• Share, sell, or leak program materials, recordings, or access.
• Misrepresent your identity or your connection to a person or organization.
• Break the law or harm the Services or other members.

If you violate these Terms, we may warn you, suspend your access, or remove you. Serious violations may result in removal without notice or a refund.

9. In-person sessions, photography, and recording

Attending in person. We offer private sessions and community gatherings at MANA Labs in Venice, California. In-person attendance is optional. Every Foundation Series session can take place by video call instead. In-person attendance is subject to the In-Person Participation Agreement, which you review and accept on your Build Brief.

Photography and filming. We use photos and videos of you on our website, in community spaces, and on social media only if you give permission on your Build Brief. Your choice does not affect your participation. You can change it by telling your facilitator or emailing hello@manalabs.academy. If you withdraw permission, we will stop new uses. If you ask us to remove something we have published that shows you, we will take it down.

Session notes and recordings. With your permission on your Build Brief, we may record sessions so you can revisit them. Automatic note-taking during video sessions, which creates the session notes in your Library, is optional. We will tell you before either begins. You can ask us to pause or stop recording, or to turn off automatic notes, at any time and still participate in your session. We will not publish your sessions or share them outside our team without your additional permission, except with the service providers that process this information to operate our video, recording, note-taking, and storage tools.

10. AI tools and third-party services

Our training uses AI tools and other software provided by other companies. Those tools have their own terms and privacy policies, and we do not control them.

You are responsible for your accounts, subscriptions, and use of those tools. Review their terms, including any restrictions on how you may use their outputs.

AI outputs can be inaccurate. Check anything you plan to rely on or publish.

We also use third-party services for scheduling, email, hosting, and payments. We are not responsible for the content, policies, or practices of third-party services or websites, including those we link to.

11. Our intellectual property

MANA Labs or our licensors own the name, branding, website, curriculum, recordings, written and visual materials, software, and other content we provide through the Services. These are protected by intellectual property laws.

Other than the permission described in Section 6, these Terms do not give you rights to our intellectual property.

12. Disclaimers

We provide the Services “as is” and “as available.” We teach and offer guidance in good faith, but we do not guarantee a particular business, creative, financial, or other outcome. Results depend on factors outside our control, including your participation and the tools you use.

To the fullest extent permitted by law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in this section limits our commitments in Section 5.

Our training does not constitute legal, financial, tax, or other professional advice.

13. Limits on liability

To the fullest extent permitted by law, MANA Labs and its founders, contractors, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill arising from your use of the Services.

Our total liability for any claim relating to the Services will not exceed the amount you paid us during the 12 months before the event giving rise to that claim.

Some jurisdictions do not allow certain liability limits. Where that applies, these limits may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless MANA Labs and its founders, contractors, and partners. This means covering claims, damages, and costs, including reasonable legal fees, arising from your use of the Services, Your Content, or your violation of these Terms, the law, or someone else’s rights.

15. Ending your access

You may stop using the Services at any time.

We may suspend or end your access if you violate these Terms or if we reasonably believe doing so is necessary to protect the Services or other members.

When your access ends, the license in Section 6 also ends, except for materials we explicitly said you may keep.

Provisions intended to continue after access ends remain in effect. These include intellectual property protections, disclaimers, limits on liability, and indemnification.

16. Changes to these Terms

We may update these Terms from time to time. When we make a material change, we will update the “Last updated” date and, where appropriate, notify you by email or on the website.

Changes take effect when posted unless we specify another date. By continuing to use the Services after changes take effect, you agree to the updated Terms.

17. Governing law and disputes

California law governs these Terms, without regard to its conflict-of-laws rules.

You and MANA Labs agree to bring disputes relating to the Services in the state or federal courts located in Los Angeles County, California, and consent to those courts’ jurisdiction.

Before filing a claim, please contact hello@manalabs.academy so we have a chance to resolve the issue directly.

18. General terms

If a provision of these Terms is found unenforceable, the remaining provisions stay in effect.

If we do not enforce a provision, that does not waive our right to enforce it later.

You may not transfer these Terms to someone else without our consent. We may transfer them to a successor or as part of a sale of our business.

These Terms, any program-specific agreement, and our Privacy Policy make up the entire agreement between you and MANA Labs concerning the Services.
